1. End User License Agreement

This End User License Agreement ("Agreement") is a binding legal contract between you ("User," "you," or "your") and OCYL, LLC ("OCYL," "Company," "we," "us," or "our"), an Arkansas limited liability company established in 2008. By accessing, installing, or using ocyl.ai, chat.ocyl.ai, or any OCYL-operated service, software, application, or platform (collectively, "Services"), you acknowledge that you have read, understood, and agree to be bound by this Agreement. If you do not agree, you must immediately cease all use of the Services.

1.1 Definitions

  • "Services" — All OCYL-operated websites, applications, APIs, AI chat interfaces, enterprise platforms, edge deployments, managed hosting, cloud workspaces, monitoring services, analytics dashboards, subscription products, and related software and infrastructure, including but not limited to ocyl.ai, chat.ocyl.ai, ops.ocyl.ai, and any client-deployed OCYL systems.
  • "Content" — All text, data, images, audio, code, and other materials transmitted to or generated by the Services.
  • "AI Output" — Any response, text, image, audio, or other content generated by artificial intelligence models through the Services.
  • "User Data" — Information you provide or that is collected through your use of the Services, as described in the Privacy Policy.
  • "Subscription Products" — Any OCYL service available on a recurring payment basis, including but not limited to: AI chat subscriptions, managed hosting, cloud workspaces, monitoring and analytics services, content creation tools, compliance services, API access, intelligence reports, and any other product offered through Stripe or other payment processors.
  • "Platform Fee" — A processing fee applied to transactions processed through OCYL infrastructure, currently set at 4% of transaction value unless otherwise specified in a separate service agreement.

1.2 Eligibility

You must be at least 18 years of age to use OCYLai Chat and related AI services. By using these Services, you represent and warrant that you are at least 18 years of age and have the legal capacity to enter into this Agreement. OCYL may offer specific products (such as educational applications or games) with different age requirements, which will be clearly labeled on those products.

1.3 License Grant

Subject to your compliance with this Agreement, OCYL grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your personal or internal business purposes. This license does not include the right to: (a) sublicense, sell, resell, or commercially exploit the Services; (b) modify, adapt, or create derivative works of the Services; (c) reverse engineer, decompile, or disassemble any part of the Services; or (d) use the Services to build a competing product or service.

1.4 Service Availability

The Services are provided on an "AS IS" and "AS AVAILABLE" basis. OCYL does not guarantee uninterrupted, error-free, or secure operation of the Services. We reserve the right to modify, suspend, or discontinue any part of the Services at any time, with or without notice, for any reason, including maintenance, upgrades, or business decisions. OCYL shall not be liable for any modification, suspension, or discontinuation of the Services.

1.5 Account Responsibility

If you create an account or authenticate via a third-party provider (Google, Discord), you are responsible for maintaining the security of your credentials and for all activity under your account. You agree to notify OCYL immediately of any unauthorized use.

1.6 Modifications to Agreement

OCYL may update this Agreement at any time. The effective date at the bottom of this page indicates the most recent revision. Continued use of the Services after any modification constitutes acceptance of the updated Agreement.

2. Privacy Policy

What We Collect

When you use chat.ocyl.ai, we collect the following:

  • Browser fingerprint — A hash derived from your browser characteristics. Used to maintain your session and enforce usage limits. This is not a cookie.
  • User agent string — Your browser name and version.
  • IP address (hashed) — We store a one-way hash of your IP address for rate limiting. We do not store your raw IP address in our application database.
  • Message metadata — Timestamps, character counts, response times, and which AI provider handled your request. We do not store the content of your messages in our analytics database.
  • Device family — General device type (desktop, mobile, tablet).

What We Collect If You Connect

If you voluntarily provide your email address or sign in via Google or Discord OAuth:

  • Email address — Used for account identification and transactional notifications only.
  • OAuth profile — Display name and avatar from your Google or Discord account. We do not access your contacts, files, or other account data.

What We Do NOT Collect

  • We do not use cookies for tracking.
  • We do not use third-party analytics scripts (no Google Analytics, no Facebook Pixel, no tracking pixels).
  • We do not sell, rent, or share your personal information with third parties.
  • We do not store your chat message content in our analytics systems.

Third-Party AI Providers

When you send a message through chat.ocyl.ai, your message is routed to one or more third-party AI providers for processing. These providers have their own privacy policies:

  • Groq (groq.com)
  • Google Gemini (ai.google.dev)
  • Mistral AI (mistral.ai)
  • Cloudflare Workers AI (cloudflare.com)
  • OpenRouter (openrouter.ai)
  • HuggingFace (huggingface.co)
  • OpenAI (openai.com) — paid tier only
  • Anthropic (anthropic.com) — paid tier only
  • xAI (x.ai) — paid tier only

OCYL selects the provider automatically based on your query type and subscription tier. Each provider processes your message according to their own data handling policies. We recommend reviewing their respective privacy policies if this is a concern.

Data Retention

OCYL retains usage metadata (timestamps, message counts, response times, provider used) for service improvement, system learning, and platform optimization. This data is used to improve AI routing accuracy, response quality, and system reliability. OCYL does not retain data for surveillance or profiling purposes.

Anonymous users generate minimal data tied only to a browser fingerprint hash. If you use OCYLai Chat without creating an account, your session data is not linked to any personally identifiable information.

Enterprise edge deployments may offer configurable data retention policies, including zero-retention options, as specified in the applicable service agreement.

Data Deletion

Anonymous chat sessions ("burner mode") produce no personally identifiable data to delete. If you have connected an email address or authenticated via OAuth and wish to request deletion of your associated data, contact us at ocyl.labs@gmail.com. Deletion requests are handled on a case-by-case basis and will be processed within 30 days of verification.

Email Communications

Transactional emails (magic codes, form confirmations) are sent via Resend and/or Amazon SES through the domain notify.ocyl.ai. We send email only when you explicitly request it (e.g., email sign-in, contact form submission). We do not send marketing emails.

3. AI Disclaimer

AI-generated content is not guaranteed to be accurate, complete, or current.

All responses from OCYLai Chat are generated by third-party artificial intelligence models. OCYL does not author, verify, or endorse the content of AI responses.

Do not rely on AI responses for: medical advice, legal advice, financial decisions, safety-critical decisions, or any situation where incorrect information could cause harm.

Always verify independently. AI models can produce incorrect, outdated, or misleading information. Users are solely responsible for evaluating and acting on any information provided by the AI.

No Professional Advice

OCYLai Chat is not a substitute for professional advice of any kind. Nothing in the AI responses constitutes legal, medical, financial, engineering, or other professional advice. If you need professional guidance, consult a qualified professional.

No Warranty on AI Output

OCYL makes no warranty, express or implied, regarding the accuracy, reliability, completeness, or fitness for any particular purpose of AI-generated content. AI responses may contain errors, hallucinations, outdated information, or biased content.

Provider Variability

OCYLai routes your queries across multiple AI providers. Different providers may give different answers to the same question. Response quality, speed, and accuracy vary by provider and model. OCYL does not control the training data, behavior, or outputs of third-party AI models.

4. Acceptable Use

You agree not to use the Services to:

  • Generate content that is illegal, harmful, threatening, abusive, defamatory, or otherwise objectionable.
  • Attempt to circumvent rate limits, usage quotas, or access controls.
  • Use automated scripts, bots, or crawlers to access the Services at scale without authorization.
  • Reverse engineer, decompile, or attempt to extract the source code of the Services.
  • Impersonate any person or entity, or misrepresent your affiliation.
  • Transmit malware, viruses, or other harmful code.
  • Use the Services to compete with OCYL or to build a competing product.
  • Scrape, harvest, or collect data from the Services without written permission.

OCYL reserves the right to suspend or terminate access for any user who violates these terms, without notice or refund.

5. Subscriptions & Payments

Free Tier

OCYLai Chat is available at no cost with a limit of 20 messages per day. No account is required for the free tier. Free-tier users are routed to free AI providers only.

Paid Subscriptions

Paid subscriptions are processed through Stripe. By subscribing, you agree to Stripe's Terms of Service. Subscription tiers and pricing are displayed at the time of purchase. OCYL may change pricing with 30 days' notice to active subscribers.

Subscription Product Categories

OCYL offers subscription products across multiple categories, including but not limited to:

  • AI & Chat Services — OCYLai Chat tiers, AI-powered assistants, prompt generators, and image generation credits.
  • Managed Hosting & Infrastructure — Website hosting, domain management, SSL certificates, and CDN services.
  • Cloud Workspaces — Industry-specific operational platforms with intake, tracking, dashboards, and notifications.
  • Monitoring & Security — Application monitoring, security scanning, alerting, and incident management.
  • Analytics & Intelligence — Business insights, reporting, dashboards, and data enrichment services.
  • Content & Marketing Tools — Content creation, social media automation, email marketing, and SEO tools.
  • Financial Tools — Invoice management, collections automation, financial document parsing, and demand forecasting.
  • Compliance & Governance — Regulatory compliance tracking, audit logging, and knowledge management.
  • API Access — Programmatic access to OCYL services with usage-based or tiered pricing.
  • Enterprise Solutions — Edge AI deployments, white-label platforms, fleet management, and custom integrations.

Each Subscription Product is subject to this Agreement. Specific terms, usage limits, and pricing for each product are presented at the time of purchase and may be described in supplemental product documentation. In the event of a conflict between this Agreement and any supplemental terms, the supplemental terms shall control for that specific product only.

Platform Transaction Fees

Certain Services that process transactions on your behalf (e.g., commerce platforms, marketplace features, or payment processing) may include a platform fee applied to each transaction. The applicable fee rate is disclosed before you activate the service. Platform fees are non-refundable once a transaction has been processed.

Cancellation & Refunds

You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period, and you will retain access to paid features until that date.

Upon cancellation, OCYL will refund a prorated amount for the unused portion of the current billing period, less a cancellation processing fee of $2.00. AI tokens and messages already consumed during the billing period are non-refundable, as the third-party AI provider costs have already been incurred on your behalf.

If you believe you were charged in error, contact ocyl.labs@gmail.com within 14 days of the charge. OCYL will investigate and issue a correction if warranted.

6. Intellectual Property

All content on ocyl.ai — including text, graphics, logos, design, code, and documentation — is the property of OCYL, LLC and is protected under 17 U.S.C. § 101 et seq. and applicable intellectual property law.

Unauthorized reproduction, distribution, modification, scraping, or reverse engineering of any OCYL content is prohibited.

AI-generated responses provided through chat.ocyl.ai are not claimed as OCYL intellectual property. Users may use AI responses for their own purposes, subject to the disclaimers above.

7. DMCA & Copyright Policy

OCYL respects the intellectual property rights of others and expects users to do the same. In accordance with the Digital Millennium Copyright Act of 1998 (17 U.S.C. § 512), OCYL will respond to notices of alleged copyright infringement that comply with applicable law.

7.1 Reporting Infringement

If you believe that content available through the Services infringes your copyright, submit a written notice to our designated agent with the following information:

  • A physical or electronic signature of the copyright owner or authorized agent.
  • Identification of the copyrighted work claimed to have been infringed.
  • Identification of the infringing material and its location within the Services.
  • Your contact information (name, address, telephone, email).
  • A statement that you have a good faith belief that the use is not authorized by the copyright owner, its agent, or the law.
  • A statement, under penalty of perjury, that the information in the notice is accurate and that you are the copyright owner or authorized to act on the owner's behalf.

7.2 Counter-Notification

If you believe your content was removed in error, you may submit a counter-notification containing: (a) your signature; (b) identification of the removed material; (c) a statement under penalty of perjury that removal was a mistake or misidentification; (d) your consent to jurisdiction in St. Francis County, Arkansas; and (e) your contact information.

7.3 Repeat Infringers

OCYL reserves the right to terminate accounts of users who are repeat copyright infringers.

7.4 AI-Generated Content

AI Output generated through the Services is produced by third-party AI models. OCYL does not control the training data of these models and cannot guarantee that AI Output does not resemble copyrighted material. Users are responsible for evaluating AI Output before use and for ensuring compliance with applicable copyright law.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, OCYL, LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING FROM OR RELATED TO:

  • Your use of or inability to use the Services.
  • Any AI Output provided through the Services, including inaccurate, incomplete, misleading, or harmful content.
  • Any unauthorized access to or alteration of your data or transmissions.
  • Any conduct or content of any third party on the Services.
  • Any interruption, suspension, or discontinuation of the Services.
  • Decisions made based on AI Output or any other content obtained through the Services.

IN NO EVENT SHALL OCYL'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICES EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID TO OCYL IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100.00).

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY. OCYL DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

9. Indemnification

You agree to indemnify, defend, and hold harmless OCYL, LLC, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or related to:

  • Your use of the Services.
  • Your violation of this Agreement.
  • Your violation of any applicable law, regulation, or third-party right.
  • Any content you submit to or transmit through the Services.
  • Your reliance on AI Output for any purpose, including professional, financial, medical, or legal decisions.

10. Ethics, Compliance & Standards

10.1 Ethical Commitment

OCYL is committed to operating with integrity, transparency, and respect for all users, clients, and communities we serve. Our core principles:

  • Honesty — We represent our Services and capabilities accurately. We do not engage in deceptive marketing, dark patterns, or misleading claims about AI capabilities.
  • Transparency — We disclose what data we collect, how we use it, and who processes it. We do not hide fees, terms, or limitations.
  • Respect — We treat user data as a responsibility, not a product. We do not sell, auction, or monetize your personal information.
  • Consent — We obtain affirmative consent before collecting personal information beyond what is technically necessary for service delivery.
  • Fairness — We price our Services fairly and do not engage in price discrimination, manipulative upselling, or artificial scarcity tactics.

10.2 Data Ethics

OCYL does not monetize user data through advertising, data brokering, or behavioral profiling. User data is used solely for service delivery, system improvement, and security. We maintain strict data isolation between clients — one client's data is never accessible to, shared with, or used to benefit another client.

10.3 AI Ethics

OCYL's use of artificial intelligence follows responsible AI practices:

  • We do not use AI to generate deceptive content, deepfakes, or impersonation of real persons without consent.
  • We do not train proprietary AI models on user data without explicit opt-in consent.
  • We disclose when content is AI-generated and do not represent AI output as human-authored.
  • We route AI requests through reputable, established providers with published safety practices.
  • We apply content safety filters and refuse to generate content that violates applicable law or community standards.

10.4 Regulatory Compliance

OCYL operates in compliance with applicable United States federal and state laws, including but not limited to:

  • Digital Millennium Copyright Act (17 U.S.C. § 512) — copyright protection and DMCA procedures.
  • CAN-SPAM Act (15 U.S.C. § 7701) — commercial email compliance. We do not send unsolicited marketing email.
  • Children's Online Privacy Protection Act (COPPA) — our AI chat services require users to be 18 or older.
  • Section 230 (47 U.S.C. § 230) — platform liability protections and good faith content moderation.
  • Arkansas data protection laws — state-level privacy and consumer protection requirements.
  • Payment Card Industry Data Security Standard (PCI DSS) — payment processing handled exclusively through Stripe, a PCI Level 1 certified processor.

10.5 Security Practices

OCYL implements security measures appropriate to the nature and sensitivity of the data we process:

  • All web traffic is encrypted via HTTPS/TLS.
  • Passwords are never stored in plaintext; authentication uses industry-standard hashing.
  • Payment credentials are never stored on OCYL servers; all payment processing is handled by Stripe.
  • Access to internal systems is restricted by role-based access controls.
  • Infrastructure is monitored continuously for anomalies, unauthorized access, and security events.
  • Backups are encrypted and stored in geographically separate locations.

10.6 Anti-Discrimination

OCYL provides its Services without discrimination based on race, color, religion, sex, national origin, age, disability, veteran status, sexual orientation, gender identity, or any other characteristic protected by applicable law. We reserve the right to refuse service only for violations of this Agreement or applicable law.

11. Dispute Resolution & Governing Law

11.1 Governing Law

This Agreement and any disputes arising from or related to your use of the Services shall be governed by and construed in accordance with the laws of the State of Arkansas, United States, without regard to its conflict of law provisions.

11.2 Exclusive Jurisdiction

Any legal action, suit, or proceeding arising from or related to this Agreement or the Services shall be instituted exclusively in the state or federal courts located in St. Francis County, Arkansas. You irrevocably consent to the personal jurisdiction of such courts and waive any objection to venue in such courts, including any claim of inconvenient forum. This provision applies regardless of where you reside, where the Services are accessed from, or where OCYL hardware or servers may be physically located.

11.3 Informal Resolution

Before initiating any formal legal proceeding, you agree to first contact OCYL at ocyl.labs@gmail.com and attempt to resolve the dispute informally for at least thirty (30) days.

11.4 Waiver of Class Action

You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. You waive any right to participate in a class action lawsuit or class-wide arbitration against OCYL.

11.5 Severability

If any provision of this Agreement is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be limited or eliminated to the minimum extent necessary so that the remaining provisions of this Agreement shall remain in full force and effect.
