Agreement to Terms

By accessing or using the OCYL Digital Labs website and services ("Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our Services.

Acceptable Use

You may use our Services only for lawful purposes and in accordance with these Terms. You agree not to:

• Use the Services in any way that violates applicable laws or regulations
• Attempt to gain unauthorized access to any portion of the Services
• Interfere with or disrupt the integrity or performance of the Services

Intellectual Property

All content, features, and functionality of the Services are owned by OCYL, LLC and protected by intellectual property laws.

OCYL-Owned IP: This includes reusable frameworks, templates, dashboard patterns, automation methodologies, and internal tools developed by OCYL Digital Labs. Clients receive usage rights as part of deliverables, but OCYL retains ownership of underlying frameworks unless a signed contract specifies otherwise.

Client-Owned Content: Clients retain ownership of their branding, business strategy documents, customer data, and proprietary business information.

Third-Party Content: We do not embed third-party proprietary content into deliverables without proper licensing. We reference official sources or use public-domain materials where appropriate.

Confidentiality & Professional Services

For professional consulting, development, or implementation services:

• We treat all client communications and project information as confidential unless otherwise agreed
• We do not disclose confidential information to third parties
• We use confidential information solely for project purposes
• Services are provided subject to separate written agreements (Statements of Work, contracts, NDAs)

Confidential information includes but is not limited to: source code, designs, product roadmaps, business models, marketing plans, and workflow specifications shared during engagements.

User Content & Data

If you submit content or information through our Services (e.g., contact forms, consultations):

• You retain ownership of your content
• You grant us permission to use submitted information to provide Services and respond to inquiries
• We process client data to deliver services, but do not claim ownership of client data

Third-Party Services

Our Services may utilize or reference third-party providers:

• Merchandise: Products are produced and fulfilled through third-party partners (Printful/Printify). Orders are subject to their terms and policies.
• External Links: We may link to third-party websites or services. We are not responsible for their content, privacy policies, or practices.

Your use of third-party services is at your own risk and subject to their respective terms.

Disclaimers

The Services are provided "as is" and "as available" without warranties of any kind, either express or implied. We do not warrant that the Services will be uninterrupted, error-free, or secure.

These Terms do not constitute a services agreement for professional work. Pricing, deliverables, and timelines for consulting or development projects are defined in separate project-specific contracts.

Limitation of Liability

To the fullest extent permitted by law, OCYL, LLC shall not be liable for indirect, incidental, special, consequential, or punitive damages arising from your use of the Services.

Changes to Terms

We reserve the right to modify these Terms at any time. Changes will be effective upon posting to this page with an updated "Last Updated" date. Continued use of the Services after changes constitutes acceptance of the revised Terms.

These Terms are issued by OCYL, LLC, an Arkansas Corporation established in 2008.
